Program owner: Hysopt NV, Luchthavenlei 7A, 2100 Deurne, Belgium (“Hysopt”, “we”, “us”).
These Terms govern your participation in Hysopt’s customer referral program (the “Program”). By participating, you agree to these Terms.
1) Key definitions
- Referrer: An eligible person who shares a personal referral link or submits a nomination.
- Referred Contact: The individual who submits the referral form.
- Referred Company: The employer of the Referred Contact.
- Referral Lead: A valid referral captured in Hysopt’s CRM (HubSpot) that includes referrer details via hidden fields or approved nomination workflow.
- Qualifying Purchase: (i) A first paid subscription/license of any Hysopt product (e.g., Hysopt Simulator, Hysopt Calculator, Hysopt Designer, Hysopt BIM Syncer) by a Referred Company (“new logo”), or (ii) a paid internal expansion (new paid seats or an upgrade) at an existing customer.
- First Invoice: The first invoice for a Qualifying Purchase that is paid and not refunded.
2) Who can refer (referrer eligibility)
Eligible referrers include:
- Current Hysopt users;
- Employees at current Hysopt customer companies (not limited to users);
- Past customers (inactive for > 6 months) referring a company other than their former employer (unless they have changed jobs and the new employer is the prospect);
- Independent consultants (not in the Hysopt Partner/Reseller Program and not advising the referred company on vendor selection) — eligible if explicitly approved by Hysopt.
Partner exclusion
Active Hysopt partners (anyone with a signed partner/reseller/affiliate agreement or receiving partner pricing/commission) are not eligible for this Customer Referral Program. Such introductions are handled under the applicable Partner Agreement.
Age & capacity: You must be 18+ and legally able to participate. Program void where prohibited.
3) Who can be referred (referral eligibility)
- New logo: The Referred Company is not an existing Hysopt customer.
- Internal expansion: The Referred Company is an existing Hysopt customer and the referral results in net-new paid seats or a plan/feature upgrade (no rewards for support hours).
All referrals must meet the following:
- Business email required (no personal/free email domains).
- The Referred Contact must self-submit the referral form (or be created via an approved “nomination” flow and subsequently opt in).
- We may decline referrals already active in our pipeline or not meeting these Terms.
Self-referrals are not permitted. A referrer cannot refer themselves.
4) Territory & eligibility by country
Territory. The Program is available to individuals residing in countries where Hysopt can legally operate and where our reward fulfillment providers can deliver rewards. The Program is void where prohibited and not available in jurisdictions subject to comprehensive trade or economic sanctions or other applicable restrictions. Where personal rewards cannot be lawfully delivered or fulfilled in your country, Hysopt may offer an alternative such as a €200 donation or invoice credit instead of a personal e-gift card.
Public sector & restricted recipients. If you are a public-sector employee or otherwise restricted from receiving personal benefits, you must choose donation or invoice credit.
Updates. Hysopt may update eligible territories and available reward options at any time.
5) How referrals are tracked & attributed
- Personal links include referrer parameters, e.g.:
…/refer?referrer_email=[your email]&referrer_id=[your HubSpot ID] - When the Referred Contact submits the form, hidden fields store the Referrer ID and Referrer email in HubSpot.
- Attribution rule: The first valid Referral Lead received by Hysopt (HubSpot submission timestamp) for the same person/company wins (“first valid link wins”).
- Referral validity window. A Referral Lead remains eligible for reward attribution for twelve (12) months from the HubSpot submission timestamp (the “Validity Window”). If the Qualifying Purchase occurs after the Validity Window expires, no referral reward is due, even if the deal originated from the referral.
- If the referrer and referred share the same employer and there is no internal expansion (no net-new paid seats/upgrades), the referral is ineligible.
6) Rewards
Default: Rewards are issued as personal e-gift cards to the named individual (the Referrer or the Referred Contact).
If a personal reward is not permitted by law, employer policy, or procurement rules, the individual may choose an equal-value charity donation or, where appropriate, an invoice credit to the relevant Hysopt customer account.
A. New logo
(Referred Company is not a current Hysopt customer)
- Referrer: €200 personal e-gift card (default). If not permitted: €200 donation (or invoice credit upon request if tied to a customer account).
- Referred Contact: €200 personal e-gift card (default). If not permitted: €200 donation or €200 invoice credit to the Referred Company’s account.
B. Internal expansion
(Referred Company is an existing customer adding net-new value)
- Referrer: €75 per net-new paid seat, capped at €225 per expansion — issued as a personal e-gift card (default). If not permitted: donation of equal value.
- Referred Contact: €75 per net-new paid seat, capped at €225 per expansion — issued as a personal e-gift card (default). If not permitted: donation of equal value or invoice credit of the same amount to the Referred Company’s account.
- Qualification threshold (may apply): Hysopt may require ≥ 2 net-new seats or ≥ €600 net-new value, and 30 days of active seat usage, for an expansion to qualify.
C. General reward terms
- Rewards are issued within 30 days after the First Invoice is paid (and any right of rescission has passed). No rewards on refunded/cancelled purchases.
- Time limit to earn rewards. Referral rewards are payable only if the Qualifying Purchase occurs within the Validity Window defined in Section 5. Referrals converting outside that window are not eligible for rewards.
- Rewards are non-transferable; Hysopt may substitute a reward of equal value.
- Cap: Max 5 paid referrals per referrer per calendar year (unless we approve otherwise in writing).
- Currency: EUR. If your local currency differs, amounts may be converted at time of issue.
- Taxes & compliance: Personal rewards may be taxable. You are responsible for any taxes, reporting, or employer approvals. If your employer prohibits personal rewards, you must choose donation or invoice credit.
- Verification: Hysopt may require proof of eligibility and identity before issuing rewards.
7) Participation flow
- Referrer shares their personal link anywhere (email, LinkedIn, WhatsApp, etc.).
- Referred Contact completes the referral form (business email only).
- Hysopt reviews eligibility (new logo vs internal expansion; pipeline check).
- If the deal closes within the Validity Window, rewards are issued after the First Invoice is paid. (If the deal closes after the Validity Window, no reward is due.)
8) Anti-abuse & ineligibility
Referrals are ineligible if Hysopt determines that any of the following apply:
- Pre-existing pipeline (new-logo). The Referred Contact or Referred Company is already in our CRM with an open opportunity, or had any opportunity (won or lost) with a close date or last sales activity within the prior 12 months.
- Spam or non-consensual activity. The activity involves spam, harvested lists, paid traffic/ads to the referral link, or non-consenting recipients.
- Partner channel. A Hysopt partner submits via this Program (partner introductions are processed under the applicable Partner Agreement).
- Invalid contact details. Personal/free email domains, disposable/alias addresses, or submissions that are materially incomplete or inaccurate.
- Fraud or violation. Suspected fraud, misrepresentation, or breach of these Terms.
Hysopt may decline or reverse rewards if later information shows ineligibility. Hysopt’s eligibility determinations are final.
9) Data & privacy
Participation requires collection and processing of personal data (e.g., name, work email, company, role, and referrer details). We process this data to operate and measure the Program and issue rewards. Data may be shared with reward fulfillment providers (e-gift card/donation platforms) to deliver rewards. For details, see our Privacy Policy. Where required, we will obtain consent before sending marketing communications.
10) Publicity
With your consent, we may identify you and/or the Referred Company (name and company only) in customer stories or recognition posts. This is optional.
11) Changes, suspension & termination
We may modify, suspend, or terminate the Program (in whole or in part) at any time, including reward amounts and eligibility rules. Changes will not affect rewards already earned and approved prior to the change.
12) Limitation of liability
To the extent permitted by law, Hysopt will not be liable for indirect, incidental, special, punitive, or consequential damages arising out of or related to the Program. Our total liability to any participant is limited to the value of rewards owed for valid referrals under these Terms.
12A) No relationship; independent parties
Participation in the Program does not create any employment, partnership, joint venture, franchise, reseller, agency, fiduciary, or other relationship between you and Hysopt beyond what is expressly set out in these Terms. You may not represent that you are authorized to bind or speak for Hysopt. No exclusivity, license, or other rights are granted except as expressly stated here.
If you (or your company) have another agreement with Hysopt (e.g., a Partner/Reseller Agreement or Customer MSA), that agreement is not modified by this Program; in the event of overlap or conflict, the other agreement governs and referrals are handled under it.
13) Governing law & venue
These Terms are governed by the laws of Belgium. The courts of Antwerp, Belgium will have exclusive jurisdiction, without regard to conflict-of-law rules.
